⚖️ Terms and Conditions – Nautrex

Welcome to Nautrex. These Terms and Conditions (“Terms”) govern your use of the Nautrex platform, website, and services (collectively, the “Platform”). By accessing or using Nautrex, you agree to comply with these Terms. Please read them carefully before using our services.

1. Acceptance of Terms

By registering, browsing, or transacting on Nautrex, you acknowledge that you have read, understood, and agreed to these Terms.
If you do not agree with these Terms, you must not use the Platform.
Nautrex may update these Terms at any time, and continued use constitutes acceptance of the updated Terms.

2. Nature of the Platform

Nautrex is a digital marketplace that connects marine service buyers (e.g., shipowners, operators, research teams) with providers (e.g., divers, ROV operators, marine contractors, rental companies).
Nautrex does not employ, endorse, or directly control service providers. Providers are independent businesses or professionals.
Nautrex is not a party to the contracts entered into between buyers and providers.

3. Eligibility

Users must be at least 18 years old and legally capable of entering into binding agreements.
Companies must ensure that their representatives have the authority to act on their behalf.
Nautrex reserves the right to suspend or terminate accounts if eligibility requirements are not met.

4. Account Registration & Security

To use certain features, you must create an account and provide accurate, complete, and updated information.
You are responsible for safeguarding your login credentials and all activity under your account.
Nautrex is not liable for unauthorized access resulting from your failure to secure your account.

5. Use of the Platform

You agree to:

Use the Platform only for lawful marine-related purposes.
Provide accurate project postings, bids, and proposals.
Refrain from sharing contact details (email, phone, etc.) until permitted by the Platform (to protect commission policies).
Avoid uploading content that is fraudulent, defamatory, illegal, or violates intellectual property rights.

6. Posting Projects & Bidding

Buyers may post projects, request bids, or launch RFPs through the Platform.
Providers may submit bids or proposals in response.
Bids are non-binding offers, and buyers may accept or reject them at their discretion.
All communication, bidding, and negotiation must remain within the Platform until a contract is confirmed.

7. Payments, Escrow & Fees

Nautrex may facilitate payments through escrow and milestone-based releases.
Buyers agree to fund projects in escrow before work begins.
Providers agree to complete work as per agreed terms before requesting payment release.
Nautrex charges a commission fee (4%) on completed transactions.
All fees are non-refundable unless otherwise stated.

8. Disputes Between Users

Nautrex provides a dispute resolution mechanism but is not liable for the outcome of user agreements.
In case of disputes, Nautrex may mediate by reviewing communication, milestones, and project terms, but ultimate responsibility lies with the contracting parties.

9. Verification, Reviews & Ratings

Providers may undergo verification (licenses, certifications, company details).
Buyers may review providers after completed work.
Reviews must be honest, fair, and not misleading.
Nautrex reserves the right to remove fake, abusive, or fraudulent reviews.

10. Prohibited Activities

You agree not to:

Circumvent the Platform to avoid fees (e.g., taking projects off-platform).
Post false, misleading, or duplicate projects.
Engage in harassment, abuse, or illegal conduct.
Use bots, scrapers, or hacks to interfere with Platform operations.

11. Limitation of Liability

Nautrex provides the Platform “as is” and “as available.”
Nautrex does not guarantee that a provider will be suitable, or that a buyer will fulfill obligations.
Nautrex is not responsible for delays, damages, losses, or disputes arising from contracts between buyers and providers.

12. Intellectual Property

All content, branding, and technology on the Platform is owned by or licensed to Nautrex.
Users retain ownership of content they upload but grant Nautrex a license to display it for Platform purposes.

13. Suspension & Termination

Nautrex may suspend or terminate accounts for violation of these Terms, suspected fraud, or harmful activity.
Users may close their accounts at any time, but obligations under active contracts remain enforceable.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Alberta, Canada.
Any disputes shall be resolved in the courts of that jurisdiction.
